1. The agreement
These Terms of Service (“Terms”) govern your use of the LoopMade software-as-a-service platform, the website at loopmade.io, the embed runtime (the iframe, JavaScript loader, and APIs we host), and any related services (collectively, the “Service”). “LoopMade”, “we”, “us”, and “our” refer to LoopMade, Inc., a Delaware corporation. “You” refers to the individual or entity that creates a workspace on the Service.
By creating an account, embedding our iframe, or otherwise using the Service, you accept these Terms and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity.
2. Your account
You must be at least 16 years old to use the Service. You are responsible for keeping your login credentials confidential and for every action taken under your account, whether authorized or not. Notify us immediately at hello@loopmade.io if you suspect unauthorized access.
A “workspace” is the unit of billing and access on LoopMade. Workspace owners may invite collaborators; each collaborator must agree to these Terms.
3. Subscriptions and payment
The Service is offered on a free tier and on paid tiers (collectively, “Plans”) described on our Pricing page. Paid plans are billed in advance on a monthly or annual basis, in U.S. dollars, through Stripe. By providing payment details you authorize us to charge the applicable fees plus any taxes for the duration of your subscription.
Subscriptions automatically renew at the end of each billing period unless you cancel before renewal. Cancellation takes effect at the end of the current billing period; you retain access to the paid features until then. Refunds are governed by our Refund Policy.
We may change pricing for any Plan with at least thirty (30) days notice via email or in-product banner. Changes take effect at the start of your next billing period; if you do not accept the new pricing, your remedy is to cancel before that period begins.
3.1 Plan limits
Each plan carries limits on decks, blocks, plays per month, and seats. These limits are surfaced in your admin panel. We may throttle, queue, or temporarily disable features that exceed your plan's limits; we will not charge overage fees without explicit authorization.
4. Your content
“Your Content” means everything you upload, type, or otherwise put into a LoopMade workspace: deck names, content items, blocks, sponsor creatives, brand assets, email captures, and the like. You retain all rights to Your Content.
You grant LoopMade a worldwide, royalty-free, non-exclusive license to host, copy, transmit, and display Your Content solely to operate the Service for you — including rendering it in the iframe to your readers, generating preview images, and producing analytics aggregates. We do not sell Your Content, train third-party AI models on it, or use it to advertise to your readers.
You are solely responsible for the legality of Your Content and for any rights you need to publish it (including images, sponsor creatives, and any data you import). You represent that Your Content does not violate any law or third-party right.
5. Embeds and visitor data
When a reader interacts with a LoopMade embed on your site, we process limited information about that interaction (a randomly-generated visitor identifier stored in browser localStorage, IP-derived coarse location, the embed origin URL, the user agent, and the events the reader produces, e.g. start / complete / vote). This data is processed on your behalf and is described in detail in our Privacy Policy.
You are the data controller for visitor data; LoopMade is the data processor. You are responsible for posting appropriate notices on your site (e.g. cookie banners and a privacy policy) and for honoring any data-subject rights requests you receive from your visitors. Forward such requests to hello@loopmade.io and we will assist within a reasonable time.
6. Acceptable use
You agree not to use the Service to:
- Publish content that is unlawful, defamatory, harassing, discriminatory, or that infringes intellectual-property rights;
- Distribute malware, attempt to exploit security weaknesses, or disrupt the Service's operation;
- Use the Service to send spam, phishing content, or unsolicited commercial email;
- Reverse-engineer, scrape at scale, or replicate the Service in a way that competes with LoopMade;
- Use the embed to track users for advertising-network resale or to fingerprint visitors beyond what the Service itself records;
- Impersonate another publisher or misrepresent your affiliation with any person or organization.
We may suspend or terminate any workspace that violates this section. Egregious violations (CSAM, doxxing, malware distribution) result in immediate termination without notice.
7. Third-party services
The Service integrates with third parties that you choose to connect, including Stripe (billing), Supabase (database + authentication), Vercel (hosting), Resend (transactional email), Beehiiv / ConvertKit / Mailchimp (email service providers), and analytics providers such as PostHog and Sentry. Your use of those services is governed by their own terms, and you are responsible for any fees they charge you directly.
8. Intellectual property
The Service — including its source code, design, brand, content templates we ship, and aggregate analytics about how publishers use LoopMade — is owned by LoopMade and protected by copyright, trademark, and other laws. We grant you a non-exclusive, non-transferable, revocable license to use the Service per these Terms; nothing in these Terms transfers ownership of the Service to you.
You grant us a non-exclusive, royalty-free license to use your company name and logo in customer lists and marketing materials. You can opt out at any time by emailing hello@loopmade.io.
9. Warranties and disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOPMADE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL LOOPMADE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to defend, indemnify, and hold harmless LoopMade, its officers, employees, and agents from any claim, demand, or damage (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your violation of these Terms, or (c) your violation of any third-party right, including any intellectual property or privacy right.
12. Termination
You may cancel your subscription at any time from the admin panel. We may suspend or terminate your access to the Service if you materially breach these Terms or fail to pay an invoice for more than fifteen (15) days. Upon termination we will delete Your Content from active systems within thirty (30) days, except that we may retain records to comply with legal obligations or enforce agreements (e.g. payment records).
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of these Terms is the state or federal courts located in Wilmington, Delaware, and the parties consent to personal jurisdiction there.
14. Changes to these terms
We may revise these Terms from time to time. Material changes will be announced by email and surfaced in the admin panel at least fifteen (15) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
